Ronove Subscription Terms of Use
These terms are an agreement between UK Instant Services Ltd, 25 Church Gate, Leicester LE1 3AL ("Ronove", "we", "us") and the company named on the subscription ("the Subscriber", "you"). By signing them electronically, the person signing confirms they are authorised to bind the Subscriber.
1. The service
1.1 Ronove is an online cleaning-services management system: an office app (operations, bookings, HR, sales, complaints, documents and e-signatures), an installable app for your employees and clients, a jobs page, a booking form and an API ("the Service"). 1.2 Your workspace is at www.ronove.io/your-company-name and your data is kept in its own separate database. 1.3 We may improve and change the Service. We will not remove a major feature you rely on without giving you at least 30 days' notice.
2. Who can subscribe
2.1 The Service is for businesses only. You must be a company or LLP registered at Companies House (or another business we approve) and give us your full, accurate details as registered, including your registered office address. 2.2 You must keep your details up to date and tell us of any change of name, ownership or address within 14 days.
3. Fees
3.1 The subscription fee is per Subscriber company, per month: The price is shown when you subscribe and in your account. We give at least 30 days’ notice of any price change. VAT is added at the current rate. 3.2 Your first month starts on the day your first payment is received. Each later month starts on the same day of the month. We send an invoice for each month. 3.3 We will give you at least 30 days' notice of any change to our prices, including the change that applies automatically from month 19. Price changes never apply to a month you have already paid for.
4. Paying
4.1 You can pay by PayPal, Direct Debit (collected by GoCardless), Klarna (where available to you), bank transfer or cheque. Bank transfers and cheques must arrive by the due date on the invoice, quoting the invoice number. 4.2 Ronove reminds you automatically before each payment is due, on the due date and when a payment is late. 4.3 If a payment is more than 7 days late, we will send you a notice that your access will end 3 weeks after the notice unless the payment is made. If it is still unpaid at the end of the 3 weeks, we may suspend access to the office, the app, the jobs page, the booking form and the API until the account is paid. Your data is kept safely during suspension. 4.4 We may claim interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
5. Ending the subscription
5.1 You can cancel at any time in the office (Admin › Subscription). Your subscription then ends 3 weeks after you cancel. Fees already paid are not refunded, except where the law requires. 5.2 We can end the subscription by giving you 3 weeks' notice, or straight away if you seriously or repeatedly break these terms, act unlawfully, or become insolvent. 5.3 After the subscription ends you can ask for an export of your data within 60 days. After 90 days we delete your workspace and data, except anything we must keep by law (for example invoices, for 6 years).
6. Your responsibilities
6.1 You are responsible for everything done by your users, for keeping sign-in links and API keys secret, and for removing access for people who leave. 6.2 You must use the Service lawfully, including employment, right-to-work, working-time, data protection, consumer, marketing (PECR) and WhatsApp/Meta rules. You must not use it to send spam, to store unlawful content, or to try to break or overload it. 6.3 You are responsible for the content of your own documents, contracts, policies, vacancies and messages, including documents sent for e-signature. Our templates are a starting point, not legal advice. 6.4 The Ronove super administrator may restrict any user or Subscriber where needed for security, legal reasons, non-payment or breach of these terms. We will tell you why unless the law or security prevents it.
7. Data protection
7.1 For personal data about your employees, applicants, clients and contacts, you are the controller and we are your processor. We process it only on your documented instructions (these terms and your use of the Service), keep it confidential, protect it with appropriate security, use only processors who give the same commitments, help you respond to people's rights requests and to personal data breaches, and delete or return it when the subscription ends (clause 5.3), as required by Article 28 UK GDPR. 7.2 Our sub-processors are our hosting provider in the UK and, only where you choose to use them, PayPal, GoCardless, Klarna, Meta (WhatsApp), Companies House and Google. Data is stored in the UK; any transfer abroad is protected by appropriate safeguards. 7.3 We will tell you without undue delay, and within 48 hours where possible, after becoming aware of a personal data breach affecting your data. 7.4 We are the controller of the details of your account (names and contact details of your account users and billing information), which we use to run and bill the Service.
8. Electronic signatures
8.1 You agree that signing these terms and other documents electronically through Ronove (typed name and drawn signature, with time, IP address, device and a fingerprint of the document recorded) is legally binding, as allowed by the Electronic Communications Act 2000.
9. API and website tools
9.1 The API, embed code, jobs page and booking form are part of the Service and are available while your subscription is paid and active. We may limit the number of requests to keep the Service fast for everyone.
10. Availability and support
10.1 We aim for the Service to be available 24/7, apart from planned maintenance (usually outside UK working hours) and events outside our reasonable control. We back up data daily. 10.2 Support is by email and WhatsApp during UK working hours.
11. Liability
11.1 Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. 11.2 We are not liable for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss. 11.3 Our total liability in any 12 months is limited to the fees you paid in those 12 months.
12. Intellectual property
12.1 We own the Service and its software. You own your data and content, and give us the right to host and process it to provide the Service.
13. Changes to these terms
13.1 We may update these terms. We will give you at least 30 days' notice of material changes and ask an authorised person to sign the new version in the office. If you do not agree, you may cancel before the change takes effect.
14. General
14.1 These terms are the whole agreement between us about the Service. If any part is found invalid, the rest still applies. Neither of us may transfer this agreement without the other's consent, except we may transfer it to a company that takes over the Service. 14.2 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
